Welcome to Aireply24. These Terms of Service ("Terms") govern your access to and use of the Aireply24 website, dashboard, and AI-powered customer support services (collectively, the "Service").

By registering for an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Description of Service

Aireply24 provides an AI-powered automation platform designed for SMEs and F-commerce businesses. The Service connects with third-party messaging platforms (Facebook Messenger, WhatsApp Business) to automate customer replies, moderate comments, manage product catalogs, and seamlessly sync orders with local courier services (e.g., Steadfast, Pathao).

2. Account Registration and Security

• Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the Service.
• Account Information: You agree to provide accurate, current, and complete information during registration.
• Security: You are responsible for safeguarding your password and account credentials. Aireply24 is not liable for any loss or damage arising from your failure to protect your account.

3. Credits, Billing, and Payments

Aireply24 operates on a Pay-As-You-Go credit system.

• Credit Usage: Credits are deducted based on AI token usage (words processed by the AI) and per-reply base costs. The exact conversion rates (BDT to Credits) and usage costs are displayed in your dashboard.
• Top-ups: You may purchase additional credits using local payment methods (e.g., bKash, Nagad, Rocket). Payments are manually verified. You must provide the correct Transaction ID (TrxID) and exact amount.
• Refunds: All credit purchases are final and non-refundable. If you experience a billing error, please contact our support team within 7 days.
• Free Credits: Any free promotional credits granted upon sign-up or via promotions have no cash value and cannot be withdrawn.

4. User Obligations and Acceptable Use

You agree NOT to use Aireply24 to:

• Promote, sell, or distribute illegal goods, counterfeit items, or regulated products (e.g., weapons, drugs).
• Send spam, unsolicited marketing messages, or violate the anti-spam policies of connected platforms.
• Deceive customers or use the AI to generate fraudulent, harmful, or malicious content.
• Interfere with or disrupt the integrity or performance of the Service.

5. Third-Party Integrations and Platform Policies

Aireply24 acts as a bridge between your business and third-party platforms.

• Meta (Facebook & WhatsApp): You must comply with the Facebook Terms of Service, WhatsApp Business Terms of Service, and Commerce Policies. Aireply24 is not responsible if Meta restricts, bans, or suspends your Facebook Page or WhatsApp Business Account due to policy violations.
• Courier Partners: Integration with third-party logistics (e.g., Steadfast) requires your own API credentials. Aireply24 is not liable for delayed deliveries, lost packages, or payment disputes between you and the courier.

6. Limitations of Artificial Intelligence

While our AI models (powered by providers like Google and OpenAI) are highly advanced, Artificial Intelligence is not infallible.

• Hallucinations: The AI may occasionally generate incorrect, nonsensical, or inaccurate information.
• Human Oversight: You are strongly encouraged to periodically review AI conversations. You can pause the AI or take over conversations manually at any time via the dashboard.
• Liability: Aireply24 is not liable for any financial loss, customer disputes, or reputational damage resulting from AI-generated replies.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your data and API tokens. By using the Service, you consent to our data practices.

8. Intellectual Property

• Aireply24 Rights: The Service, including its code, design, dashboard, and branding, is the intellectual property of Aireply24. You may not copy, modify, or distribute our intellectual property without written consent.
• Your Rights: You retain all ownership of the product data, knowledge base files, and customer lists you upload to the platform.

9. Termination

• By You: You can stop using the Service and delete your account at any time through your dashboard.
• By Us: We reserve the right to suspend or terminate your account immediately, without prior notice or refund, if you violate these Terms, engage in illegal activities, or violate the policies of our third-party partners (e.g., Meta).

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AIREPLY24 EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIREPLY24 AND ITS FOUNDERS, EMPLOYEES, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OR INABILITY TO USE THE SERVICE.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the site or via email. Your continued use of the Service after changes are published constitutes your acceptance of the new Terms.
